Terms of Service

1. Acceptance of Terms

By accessing or using LokaVox ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform. These Terms apply to all users, including individual professionals and businesses.

2. Description of Service

LokaVox is a customer relationship management (CRM) and communications platform that provides tools for client management, communication, document management, appointment scheduling, and business automation. Features include but are not limited to:

• Client database and pipeline management
• Chat assistant and document analysis
• Email integration and smart email drafting
• SMS notifications and platform alerts via Telnyx
• Calendar management and Google Calendar sync
• Document storage and knowledge base
• Industry-specific templates and workflows

3. User Accounts and Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials and API keys.
• All activities that occur under your account.
• Ensuring that your use of the Platform complies with all applicable laws and regulations.
• The accuracy and legality of all data you enter into the Platform, including client information.
• Obtaining proper consent before storing data or receiving communications through the Platform.

4. Plans, Billing, and Refunds

LokaVox is sold as a monthly subscription. Plans are Core and Complete, priced by industry, with Enterprise packaging available through sales. Current rates are published at lokavox.com/pricing. Unless otherwise agreed in writing:

• Monthly billing in advance: Subscription fees are billed monthly in advance, beginning on the date your account is activated, and renew automatically each month until cancelled.
• Setup fee: A one-time $79 setup fee is charged at activation to cover phone number provisioning and carrier registration. The setup fee is non-refundable.
• 14-day money-back guarantee: New customers who cancel within 14 days of activation receive a full refund of their first month's subscription fee. The setup fee is excluded from this guarantee.
• No partial-period refunds: After the 14-day guarantee period, subscription fees are non-refundable and no refunds or credits are issued for partial billing periods, unused time, or unused included allowances.
• Usage beyond included allowances: Receptionist minutes, SMS, assistant questions, and transcription beyond the allowance included in your plan are billed at the published per-unit rates on the pricing page.
• Cancellation: You may cancel at any time from your account settings or by contacting support@lokavox.com. Cancellation takes effect at the end of the current billing period.
• Price changes: We will give you at least 30 days' notice before any change to your subscription price takes effect. Continued use of the Platform after the effective date constitutes acceptance of the new price.

5. SMS Platform Notifications

LokaVox sends SMS notifications directly to its registered platform users regarding account activity and platform updates. LokaVox is the sole sender of all SMS messages under this program. By opting in to SMS notifications during account registration, you agree to the following:

• LokaVox may send you account alerts, system notifications, security alerts, and other communications related to your use of the LokaVox platform.
• Message frequency varies based on your account activity and platform usage.
• Message and data rates may apply. Contact your wireless carrier for details.
• You may opt out at any time by replying STOP to any message from LokaVox. A one-time confirmation will be sent.
• Reply HELP to any message from LokaVox for assistance, or contact support@lokavox.com.
• Consent to receive SMS messages is not a condition of purchasing or using any LokaVox service.
• SMS delivery is not guaranteed and depends on carrier networks and recipient devices.

6. SMS Data Privacy

• Data Collection: LokaVox collects the user's mobile phone number and consent status when they opt in to SMS notifications during account registration.
• Data Use: Phone numbers are used solely to send LokaVox platform notifications related to the user's account activity.
• Data Sharing: LokaVox does not sell, rent, or share SMS opt-in data or phone numbers with third parties for marketing purposes. Data may be shared with our SMS service provider (Telnyx) solely for the purpose of delivering messages.
• Data Retention: SMS consent records and phone numbers are retained for as long as the user maintains an active LokaVox account. Upon account deletion or opt-out, SMS data is removed.
• User Rights: Users may request access to, correction of, or deletion of their SMS-related data by contacting support@lokavox.com.
• Opt-Out: Users can reply STOP to any message or contact support@lokavox.com. Reply HELP for assistance.

7. Acceptable Use

You agree not to use the Platform to:

• Violate any applicable law, regulation, or third-party rights.
• Send unsolicited bulk communications (spam).
• Store or transmit malicious code or harmful content.
• Attempt to gain unauthorized access to any systems or data.
• Interfere with or disrupt the Platform or its infrastructure.
• Use the AI features to generate harmful, misleading, or illegal content.
• Misrepresent your identity or affiliation with any person or entity.

8. Data Ownership

You retain all ownership rights to the data you input into the Platform, including client information, documents, and communications. We do not claim ownership over your data. You grant us a limited license to process your data solely for the purpose of providing the Platform's services.

9. Third-Party Services

The Platform integrates with third-party services including Anthropic (AI), Telnyx (SMS), and Google (Calendar/Email). Your use of these integrations is subject to each provider's terms of service. We are not responsible for the availability, accuracy, or conduct of third-party services.

10. AI-Generated Content

The Platform includes AI-powered features that generate suggestions, drafts, and analysis. You acknowledge that:

• AI-generated content is provided as suggestions and should be reviewed before use.
• We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content.
• You are solely responsible for reviewing and approving any AI-generated communications before they are sent to clients.
• AI features should not be used as a substitute for professional advice (legal, medical, financial, etc.).

11. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

12. Intellectual Property

The Platform, including its design, code, features, and branding, is the intellectual property of LokaVox. You may not copy, modify, distribute, or reverse engineer any part of the Platform without our written consent.

13. Limitation of Liability

To the maximum extent permitted by law, LokaVox shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Platform. Our total liability shall not exceed the amount you paid for the Platform in the twelve months preceding the claim.

14. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or secure. We do not warrant the accuracy of AI-generated content or the delivery of SMS messages.

15. Indemnification

You agree to indemnify and hold harmless LokaVox and its affiliates from any claims, losses, liabilities, and expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

16. Termination

We may suspend or terminate your access to the Platform at any time for violation of these Terms. Upon termination, your right to use the Platform ceases immediately. You may request export of your data prior to termination.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Palm Beach County, Florida.
